Legal terms governing access to SparkCo's AI-powered healthcare automation services for Skilled Nursing Facilities, Nursing Homes, and Long-Term Care communities.

Service Overview

These Terms govern your access to SparkCo's voice and workflow automation agents that provide read‑only decision support and communication workflows for healthcare providers. By using the Services, you agree to be bound by these Terms.

We do not replace clinician judgment or provide medical advice

Acceptable Use Policy

Prohibited Activities

  • • Misuse, interfere with, or disrupt Services
  • • Reverse engineer or derive source code

  • • Access via unauthorized methods

  • • Configure clinical escalation policies appropriately
  • • Ensure necessary rights for submitted content
  • • Follow acceptable use requirements

AI Output & Clinical Safety

Human Oversight Required

AI outputs (SBAR drafts, risk flags, communication drafts) may be incomplete and require clinical validation. You are responsible for appropriate human oversight and final decisions.

The Services do not provide medical advice and do not replace licensed clinicians' judgment.You must define and maintain your facility's escalation and on‑call policies.

HIPAA & Sensitive Data

Business Associate Agreement

If you require a BAA or will process Protected Health Information (PHI), this must be expressly agreed in writing.

Unless we have an executed BAA with you, you agree not to submit PHI or other regulated data.When a BAA is in place, we process PHI in accordance with the BAA, these Terms, and our Privacy Policy.

Legal Framework

Intellectual Property

We and our licensors own all rights in the Services. Limited rights granted for use only.

Confidentiality

Both parties protect confidential information with reasonable care and limited use.

Indemnification

You indemnify us for claims arising from your use, data, or Terms violations.
